TERMS OF USE: Edge Clinical Nutrition

These Terms of Use (these “Terms”) constitute a legally binding agreement between you (“Student,” “you,” or “your”) and Edge Nutrition, a Colorado S. Corp (“Company,” “we,” “us,” or “our”), governing your enrollment in and use of the CNSC Exam Study Guide Course, including all associated online and physical materials (collectively, the “Course”).
BY PURCHASING, ENROLLING IN, ACCESSING, OR USING ANY PART OF THE COURSE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT PURCHASE OR ACCESS THE COURSE.
1. Course Materials
The Course includes, without limitation, the following materials (collectively, the “Course Materials”):
- Online Lectures: pre-recorded and/or live online video lectures and any accompanying slides, transcripts, and audio;
- Exams and Practice Questions: online examinations, quizzes, practice questions, answer keys, and explanations;
- Digital Flashcards: digital flashcards and any associated software, decks, images, and text;
- Physical Binder: the physical binder provided to enrolled Students, including case studies, reference sheets, outlines, charts, and all other printed materials contained therein; and
- Other Materials: any other content, updates, supplements, or materials we provide in connection with the Course, in any form or medium, now known or later developed.
2. Intellectual Property Ownership; Copyright Registration
All Course Materials are the sole and exclusive property of the Company and are protected by United States copyright law, including the Copyright Act of 1976 (17 U.S.C. § 101 et seq.), as well as trademark, trade secret, and other intellectual property laws. The Course Materials are registered with the United States Copyright Office (Registration No. TX 9-551-759).
Nothing in these Terms transfers any ownership interest in the Course Materials to you. Except for the limited license expressly granted in Section 3, all rights are reserved. The Company’s trademarks, logos, and trade dress may not be used without our prior written consent.
3. Limited License
Subject to your payment in full and your continued compliance with these Terms, the Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) access and view the online Course Materials through your individual account solely for your own personal, non-commercial educational use; and (b) use the physical binder solely for your own personal, non-commercial educational use.
This license does not include any right to reproduce, distribute, publicly display, publicly perform, modify, or create derivative works from the Course Materials, all of which rights are expressly reserved to the Company. Your license terminates automatically upon any breach of these Terms or upon expiration or termination of your enrollment.
4. Accounts and Login Credentials
Your Course account and login credentials are issued to you personally and are strictly non-transferable. You agree that you will:
- not share, disclose, sell, rent, lend, or otherwise provide your username, password, or any other access credentials to any other person;
- not permit any other person to access the Course through your account, whether in person or remotely;
- access the Course only through your own account and never through the credentials of another person;
- maintain the confidentiality and security of your credentials and notify us immediately at sara@edge-clinical.com of any unauthorized access or suspected compromise of your account; and
- accept responsibility for all activity that occurs under your account.
We may employ technical measures to detect account sharing, including monitoring of IP addresses, device identifiers, and concurrent-session activity, and we reserve the right to suspend or terminate accounts that show evidence of shared or unauthorized access.
5. Prohibited Conduct
You agree that you will NOT, directly or indirectly, and will not permit, assist, or encourage any third party to:
- copy, reproduce, or duplicate any Course Materials in whole or in part, in any form or medium;
- take screenshots, screen recordings, or screen captures of any online Course Materials, including lectures, exams, practice questions, and flashcards;
- photocopy, scan, photograph, or otherwise reproduce the physical binder or any of its contents, including case studies and reference sheets;
- download, save, print, export, or convert any Course Materials into any other format (including PDF) except where a download function is expressly provided by the Company;
- share, email, upload, post, transmit, or distribute any Course Materials or copies thereof (including PDFs, images, videos, or text) to any person, website, cloud-storage service, file-sharing platform, social-media platform, group chat, forum, or document repository;
- sell, resell, rent, lease, lend, sublicense, auction, or otherwise commercialize any Course Materials or access to the Course, including resale of the physical binder or any portion of it;
- record, rebroadcast, live-stream, or publicly display any lecture or other Course content;
- reproduce, compile, or share exam questions, practice questions, or answer keys, including from memory, for the benefit of any other person or test-preparation resource;
- remove, obscure, or alter any copyright notice, watermark, or other proprietary marking on any Course Materials;
- circumvent, disable, or interfere with any security, digital-rights-management, or access-control feature of the Course platform;
- use any automated means (including bots, scrapers, or download managers) to access or extract Course Materials; or
- use the Course Materials to create, develop, or contribute to any competing course, product, or service, or to train any artificial-intelligence model.
6. Physical Binder
The physical binder is licensed, not sold. Title to the intellectual property embodied in the binder remains at all times with the Company. You may not resell, gift, lend, donate, or otherwise transfer the binder or any of its contents to any other person, and you may not reproduce its contents by any means. Upon termination of your license for breach, we may require, and you agree to comply with, the return or certified destruction of the binder and all copies of any Course Materials in your possession.
7. Enforcement; Remedies for Infringement
You acknowledge that the Course Materials constitute valuable proprietary assets of the Company, that the Course Materials are registered with the U.S. Copyright Office, and that unauthorized reproduction or distribution of the Course Materials may subject you to civil liability under 17 U.S.C. § 504, including statutory damages of up to $30,000 per work infringed, or up to $150,000 per work for willful infringement, plus attorneys’ fees and costs under 17 U.S.C. § 505, as well as potential criminal penalties under 17 U.S.C. § 506.
You further acknowledge that any breach of Sections 4, 5, or 6 would cause the Company irreparable harm for which monetary damages would be an inadequate remedy, and you agree that the Company shall be entitled to seek injunctive relief and specific performance, without the necessity of posting a bond, in addition to all other remedies available at law or in equity.
Upon any violation, we may immediately suspend or terminate your access to the Course without refund, in addition to pursuing all other available remedies.
8. Term and Termination
Your access to the online Course Materials continues for 6 months, unless earlier terminated. We may suspend or terminate your access immediately, without notice or refund, if you breach these Terms. Sections 2, 5 (as to conduct after termination), 6, 7, and 9 through 13 survive any termination or expiration of these Terms.
9. Disclaimers
THE COURSE AND COURSE MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT OR GUARANTEE ANY PARTICULAR EXAM RESULT, GRADE, CERTIFICATION, LICENSURE, OR OTHER OUTCOME FROM USE OF THE COURSE. THE COURSE IS PROVIDED FOR EDUCATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE COURSE OR THESE TERMS. THE COMPANY’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE COURSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. General Provisions
- Entire Agreement. These Terms, together with any purchase confirmation, constitute the entire agreement between you and the Company regarding the Course and supersede all prior agreements.
- You may not assign these Terms or any rights hereunder. The Company may assign these Terms without restriction.
- If any provision is held unenforceable, the remainder shall continue in full force and effect.
- No Waiver. Our failure to enforce any provision is not a waiver of the right to enforce it later.
- We may modify these Terms prospectively by posting an updated version; your continued use of the Course after the effective date constitutes acceptance.
